General Terms and Conditions of Service

HEPICURE, Luxury Longevity Travel. Applicable to engagements entrusted to Hepicure by travellers, whether private individuals or companies.

HEPICURE, a French société par actions simplifiée with share capital of 1,000 euros, registered office 58 rue de Monceau, CS 48756, 75380 Paris CEDEX 08, France, registered with the Paris Trade and Companies Register under number 928 807 544 (management number 2024 B 18768, European identifier FR7501.928807544), operating the collection accessible at hepicure.com.

Hepicure searches for, selects and negotiates places and services on behalf of the Client, then coordinates how they come together. It acts as the Client's agent. It sells no accommodation, no transport and no other travel service, and it assembles no package within the meaning of article L.211-2 of the French Code du tourisme.

Every service is contracted directly between the Client and the professional who performs it. The Client pays each professional directly. Hepicure receives no funds on behalf of others and invoices the Client for its own remuneration only.

Hepicure owes a duty of care and diligence in respect of the search, the selection and the coordination entrusted to it. It is not liable for the performance of the services carried out by the professionals retained, each of whom is liable to the Client for its own performance.

1. Definitions

Hepicure: the company that operates the collection, searches for and selects the Properties and the Services on behalf of the Client, negotiates their terms and coordinates their delivery, acting as the Client's agent.

Client: the individual or legal entity that entrusts an engagement to Hepicure. The people included in the stay are not parties to the Engagement Letter; the Client is responsible for their conduct.

Engagement Letter: the document signed between the Client and Hepicure setting out the engagement entrusted, its scope, the agreed fees and their payment terms. The Engagement Letter and these conditions form the entire agreement between the Client and Hepicure.

Property: a villa, an apartment or a yacht retained by Hepicure in its collection, or a hotel it presents without listing it, selected against criteria relating to rest, recovery, quiet, movement and the table.

Owner: the individual or legal entity, private or professional, entitled to make the Property available, or its authorised representative, with whom the Client contracts directly.

Provider: any independent professional to whom the Client directly entrusts the performance of a service connected with the stay, including private ground transport, private aviation, coaching and training, private chefs and catering, treatments and therapies, nutrition advice, guides, skippers, household staff employed by a services company, and any other professional retained.

Service: the service performed by a Provider for the Client under the contract concluded between them.

Service Contract: the contract concluded directly between the Client and an Owner or a Provider. It is governed by its own terms, which alone apply between its parties.

Coordination: the engagement under which Hepicure organises how the Services fit together and with the stay, and remains the Client's point of contact for its whole duration. Coordination is optional and is owed only where the Engagement Letter provides for it.

Summary Schedule: the single document prepared by Hepicure setting out, for each Service Contract, the identity of the professional, the amount, the payment schedule and the cancellation terms specific to it. It is prepared for information and does not replace any Service Contract.

Property Page: the detailed characteristics of a Property published on the Site.

Site: the hepicure.com website and all of its pages.

Unavoidable and extraordinary circumstances: a situation beyond the control of the party invoking it, the consequences of which could not have been avoided even if all reasonable measures had been taken, including war, terrorist attack, riot, revolution, epidemic, pandemic, decisions of a public authority restricting travel or short-term accommodation, nuclear, bacteriological or chemical disaster, and climatic or natural events such as cyclone, earthquake, tsunami, tornado, ash cloud or sandstorm.

Lif8: the separate consultancy dedicated to longevity audits of buildings, presented on the Site. Lif8 engagements are governed by their own terms and fall outside the scope of these conditions.

2. Scope

These conditions govern any engagement entrusted to Hepicure by a Client, whether a private individual or a company. They are supplemented by the Engagement Letter, which prevails over these conditions on the specific points it addresses.

They do not govern the Service Contracts concluded between the Client and the Owners or Providers. Those contracts are governed exclusively by their own terms, which the Client accepts directly with each professional.

By signing the Engagement Letter, the Client acknowledges having read and accepted these conditions. Refusal of these conditions prevents the Engagement Letter from being concluded.

Where the Client is a company or another legal entity acting for the purposes of its business, the provisions of these conditions relating to consumers, in particular the right of withdrawal and consumer mediation, do not apply, and article 14.3 governs the settlement of disputes.

3. Hepicure's role

3.1. The engagement

Hepicure searches for and selects places chosen for the quality of the rest and recovery they make possible, presents the Client with the Properties that match the brief, negotiates the terms on which they are made available, and introduces the Client to the Owners and Providers retained.

Where the Engagement Letter provides for it, Hepicure also carries out the Coordination of the stay and remains the Client's point of contact until the day of departure.

Hepicure owes a duty of care and diligence. It applies the care and diligence expected of a professional in its field to search for, verify and select the Properties and Providers it presents, and to coordinate their involvement.

3.2. What Hepicure does not do

Hepicure sells no accommodation, no transport, no vehicle hire and no other travel service. It does not combine travel services and assembles neither a package nor a linked travel arrangement within the meaning of articles L.211-2 and L.211-2-1 of the Code du tourisme.

Hepicure does not own, manage or operate the Properties. It neither employs nor supplies any staff for the benefit of the Client. Household staff, where retained, are supplied by a services company that employs them and that contracts directly with the Client.

Hepicure receives, holds and advances no funds on behalf of the Client or of any professional. It collects no deposit, no balance, no security deposit and no tourist tax. Any request that it centralise payments is declined.

Hepicure distributes no insurance product and takes no part in any subscription. It gives no medical advice and makes no medical claim in relation to any service, equipment or place.

3.3. Selecting the properties

The descriptions and photographs appearing on the Site correspond to the Property as retained by Hepicure. Photographs are provided for illustration and have no contractual value. Only the information set out in the Service Contract concluded with the Owner binds that Owner.

Any comfort rating given to a Property is an assessment established by Hepicure against its own criteria, independently of the local standards of the host country and of those of the Client's country of residence. That assessment is generally more detailed than those standards and does not replace any classification granted to the Owner by the local tourism authorities.

Hepicure verifies the information communicated to it by Owners with the care expected of a professional, without being required to have visited every Property it presents. On request, it tells the Client the origin and the date of the information on which its presentation is based.

3.4. Coordinated services

In addition to the Property, the Client may retain Services performed by independent Providers, including private ground transport, private aviation, coaching and training, private chefs and catering, treatments, massage and therapies, nutrition advice, bespoke experiences, private events, guides and children's programmes.

The Client freely chooses the Services retained. Each gives rise to a Service Contract concluded directly between the Client and the Provider concerned, on that Provider's own terms. Hepicure presents the Providers, negotiates their terms and coordinates their involvement where the Engagement Letter provides for it.

A Service added after the Engagement Letter is signed, or during the stay, follows the same regime. Its terms are made known to the Client before the Client is bound.

3.5. Regulated services

Close protection, insurance distribution, medical and paramedical procedures, public passenger transport and real estate transactions are contracted directly between the Client and the authorised professional, who alone is responsible for performing them and for its own regulatory compliance. Hepicure performs none of these services and receives no remuneration in respect of insurance distribution.

3.6. Anti-money laundering and counter-terrorist financing

Hepicure may, before the Engagement Letter is concluded and at any time during the relationship, ask the Client for any document or information needed to identify the Client and verify that identity.

The Client undertakes to provide the supporting documents requested without delay and acknowledges that their absence may lead to the engagement being declined or its performance suspended.

Hepicure satisfies itself that its clients appear on no national or international list of economic sanctions or asset freezes. In the event of a positive match or of serious doubt, it may decline the engagement without incurring liability. These obligations are imposed on Hepicure and may not be construed as discriminatory or unfair.

4. How the engagement proceeds

4.1. Enquiry and qualification

The Client submits an enquiry through the form available on the Site or by contacting an adviser on the standard-rate number +33 6 89 76 07 89. A preliminary discussion establishes the destination, the dates, the number of people, the budget contemplated and any particular expectations.

The applicable fees and the scope of the engagement are set out to the Client at the end of that discussion, before any search work begins.

4.2. Signing the engagement letter

The engagement begins when the Client signs the Engagement Letter. It sets out the engagement entrusted, its duration, the agreed fees, their payment terms and, where applicable, the Coordination.

The Engagement Letter is not exclusive, unless otherwise agreed in writing by both parties.

4.3. Proposal and selection

Hepicure presents the Client with a selection of Properties matching the brief, together with the information needed to make a choice, in particular the characteristics of the Property, its availability on the dates requested and the terms negotiated with the Owner.

The number of proposals, the number of destinations and the number of revisions included in the engagement are set out in the Engagement Letter. Any request beyond that scope gives rise to an amendment and to additional fees, made known to the Client before the Client is bound.

4.4. Contracting with the professionals

Where the Client retains a Property or a Service, Hepicure introduces the Client to the Owner or Provider concerned, who sends the Client its own contract.

The Client reviews that contract, accepts it if it is suitable and signs it directly with the professional. The Client then makes the payments provided for by that contract, directly to the professional, on the schedule and by the means that contract provides.

Hepicure is not a party to any Service Contract. It does not sign it, does not guarantee it and does not alter its terms.

4.5. Summary schedule

So that the Client has a single overview, Hepicure prepares a Summary Schedule setting out, for each Service Contract, the identity of the professional, the amount due, the payment dates and the applicable cancellation terms.

That Summary Schedule is prepared from the contracts communicated by the professionals. It is provided for information and replaces none of them. In the event of any discrepancy between the Summary Schedule and a Service Contract, the Service Contract prevails. It is for the Client to read each contract before signing it.

5. Fees and remuneration

5.1. Fees

Hepicure is remunerated by fees invoiced to the Client for the engagement entrusted to it. The amount is set out in the Engagement Letter. It is determined by the scope of the engagement and not by the time spent on it.

The fees remunerate the search, the verification, the selection, the negotiation and, where provided for, the Coordination. They are independent of the price of the Services retained and are not set off against any of them.

A surcharge may apply where departure falls within thirty days, and a reduction where the Client has already entrusted an engagement to Hepicure. Both are set out in the Engagement Letter.

5.2. Due date and payment

The fees fall due on signature of the Engagement Letter, unless it provides a different schedule. They are paid by bank transfer to Hepicure's account, from an account held in the Client's name.

The fees are earned by Hepicure as soon as the engagement they remunerate has been performed. They are not refundable if the Client gives up the stay, if an Owner or Provider cancels, or if unavoidable and extraordinary circumstances arise, subject to article 7 and to the right of withdrawal set out in article 6.

Hepicure will never ask for full bank details to be sent by email, fax, post or any other unsecured channel. A Client receiving such a request should not act on it and should notify Hepicure immediately.

5.3. Commission from professionals

Hepicure may receive, from the Owners and Providers it presents, a commission calculated on the amount of the Service Contract concluded with the Client. That commission is payable by the professional and is not added to the price paid by the Client.

In accordance with the duty to account that rests on an agent, Hepicure informs the Client that it receives that remuneration and, on request, states its rate.

That remuneration does not determine the selection presented to the Client. Hepicure will not retain a Property or a Provider solely because of the remuneration it receives from them, and it tells the Client where a Property matching the brief gives rise to no commission.

5.4. No handling of funds

Hepicure receives from the Client its own fees only. No other amount connected with the stay passes through its accounts. Payments due under the Service Contracts are made by the Client directly to each professional.

This rule is fundamental to how Hepicure operates. It admits of no exception, including at the Client's request.

6. Right of withdrawal

Where the Client is a consumer and the Engagement Letter is concluded at a distance or away from business premises, the Client has fourteen days from signature to withdraw, without having to give reasons, under articles L.221-18 and following of the French Code de la consommation. A withdrawal form is attached to the Engagement Letter.

Because the search cannot usefully wait until the end of that period, the Client may expressly ask Hepicure to begin performing the engagement before it expires. That request is set out in the Engagement Letter and is obtained in writing.

Where the Client has made that request and subsequently withdraws, the Client remains liable for an amount proportionate to the engagement already performed at the date on which Hepicure is informed of the withdrawal, under article L.221-25 of the Code de la consommation. Where the engagement has been performed in full before the period expires at the Client's express request, the right of withdrawal can no longer be exercised.

The Service Contracts concluded with Owners and Providers are governed by their own rules. The right of withdrawal does not apply to the provision of accommodation other than for residential purposes, transport, vehicle hire, catering and leisure activities supplied on a specified date, under article L.221-28-12° of the Code de la consommation.

7. Changes, cancellation and end of the engagement

7.1. Changes requested by the client

The Client informs Hepicure as soon as possible of any request for a change. Hepicure passes it on to the professionals concerned, without being able to guarantee that it will be accepted. The financial consequences of the change are governed by the terms of each Service Contract.

Where the change requires a fresh search, it gives rise to an amendment to the Engagement Letter and to additional fees, made known to the Client before the Client is bound.

7.2. The client gives up the stay

The Client may give up the stay at any time. The Client informs each professional concerned without delay and bears the consequences provided for by each Service Contract.

Fees already due remain earned by Hepicure. Where the engagement has not yet been performed, only the portion corresponding to the work already carried out remains payable.

7.3. Cancellation by a professional

Where an Owner or a Provider cancels, the consequences of that cancellation, including the refund of sums paid and any compensation, are governed by the Service Contract concerned and are settled between the Client and that professional.

Hepicure applies the means available to it without delay to propose a substitute solution to the Client matching the same characteristics. That search is covered by the fees agreed and gives rise to no additional invoice.

Hepicure assists the Client in dealing with the defaulting professional. It does not stand in that professional's place and guarantees neither refund nor compensation.

7.4. Unavoidable and extraordinary circumstances

The occurrence of unavoidable and extraordinary circumstances at the destination is governed by the terms of each Service Contract. Hepicure informs the Client of the rights arising under each of those contracts and assists the Client in exercising them.

Where such circumstances prevent the stay and Hepicure's engagement has been performed, the fees remain earned. Where they arise before the engagement has been performed, only the portion corresponding to the work already carried out remains payable.

7.5. Termination by Hepicure

Hepicure may end the engagement where the Client fails to meet its obligations, in particular non-payment of fees, refusal to provide the documents referred to in article 3.6, or inappropriate conduct towards its teams or towards a professional. Fees corresponding to the work already carried out remain payable.

7.6. Properties presented

Where the Client, or any person acting on the Client's behalf or together with the Client, concludes directly or through a third party a contract relating to a Property or a Service presented to the Client by Hepicure, within twelve months of that presentation, the fees set out in the Engagement Letter remain payable in full.

The list of Properties and Providers presented is recorded in writing and sent to the Client as the engagement proceeds.

8. Use of the properties and safety

8.1. Applicable rules

The rules governing the use of each Property, in particular arrival and departure times, the maximum number of people admitted, the security deposit, the inventory, the presence of animals, the prohibition on smoking, the holding of events and the prohibition on subletting, are set out in the Service Contract concluded with the Owner. They alone apply between the Client and that Owner.

Hepicure makes those rules known to the Client at the point of introduction and repeats them in the Summary Schedule. The paragraphs that follow are general warnings and create no obligation on Hepicure.

8.2. Pools, sports equipment and recovery installations

The Properties may include swimming pools, ponds, sports equipment and installations dedicated to recovery and to optimising performance, such as saunas, steam rooms, cold plunges, jacuzzis, gyms, recovery devices, light therapy equipment and similar installations.

These installations are supplied and maintained by the Owner. They may meet the standards applicable in the country where the Property is located, which may differ from those applicable in the Client's country of residence or be less demanding.

The Client uses them at the Client's sole risk and observes the rules of use set out in the Property's house rules or communicated on site. In particular, the Client should not run near pools or installations, dive or jump into pools, jacuzzis or plunge baths, use the equipment under the influence of alcohol or of any substance affecting physical capacity, leave minors unsupervised, or use the equipment without observing the instructions or limits indicated.

The use of certain recovery or performance equipment may present risks for some people. It is for the Client to check that they are fit to use it and, where appropriate, to consult a qualified professional beforehand.

8.3. Children

Some Properties may be presented as suitable for family stays. It nonetheless falls to parents or legal guardians to satisfy themselves that the Property retained meets their family's particular needs, having regard in particular to the age, number and abilities of the children. Unless otherwise stated, the Properties do not necessarily have child safety equipment such as socket covers, corner protectors, safety gates or door stops.

It is the strict responsibility of parents or legal guardians to supervise minors at all times and to take every precaution necessary to prevent any risk of accident or drowning, whatever the nature or supposed effectiveness of the safety devices installed in the Property.

8.4. Wildlife, insects and surroundings

Most Properties are located outside town centres and some in arid or very humid areas, where animals such as rodents, deer, goats, sheep, cats and dogs may be encountered, as may insects such as wasps, bees, mosquitoes, flies, ants, scorpions, spiders or snakes. Insects and animals may be drawn by lawns, pools, streams, ponds, local vegetation and food left after meals outdoors. It is strongly advised to keep doors and windows closed as far as possible and to clear away leftover food.

Noise or nuisance originating outside the Property, including works in the neighbourhood, is beyond the control of Hepicure as it is beyond the control of the Owner. Some Properties are located in areas where electricity is carried exclusively by overhead cables, which means poles are present nearby.

8.5. Air conditioning

Some Properties are located in areas subject to high temperatures in summer. Most have air conditioning. It is recommended that it be used responsibly, that the instructions given by the Owner as to the maximum temperature difference to maintain between inside and outside be observed, and that windows and doors be kept closed while the air conditioning is running.

8.6. Accessibility

General information on the accessibility of the Properties to people with reduced mobility appears in the Property Page. It is for the Client to give Hepicure all the information needed to recommend suitable Properties, so that the suitability of the Property can be verified with the Owner before any introduction is made.

8.7. Declining an engagement

Hepicure reserves the right to decline any further engagement from a Client who, during a previous stay, caused significant damage to a Property and refused to bear the cost of making it good, behaved inappropriately towards its teams or towards a professional, including insults, discrimination or harassment, or failed to meet contractual obligations. Any decision to decline may be challenged, with reasons given, by writing to contact@hepicure.com, and the request will be considered in good faith within a reasonable time.

9. Corporate stays and private events

Where the engagement is entrusted by a company or another legal entity for an executive committee, an offsite, a board meeting, an incentive trip, a launch, a leadership programme or a partner gathering, the format follows the Client's actual requirement rather than a predefined grid. Exclusive use of the Property, room allocation, working spaces, the table and the presence on site of a member of the Hepicure team are set out in the Engagement Letter.

The Client's working programme, including the agenda, facilitation and session content, falls outside Hepicure's engagement.

The model described in these conditions applies unchanged: each Owner and each Provider contracts with and invoices the company directly, and Hepicure invoices its fees only.

The Client is responsible for informing the people taking part in the stay of the applicable rules of use, for obtaining the consents needed to process their data, and for the conduct of each participant during the stay.

10. Insurance

10.1. The client's insurance

The Client is strongly advised to take out, with the insurer or broker of the Client's choice, insurance covering the risks connected with the stay, which may include cancellation, damage caused to the Property, material or bodily injury caused to third parties, loss, theft or damage to personal effects, and incidents occurring during the stay. It is for the Client to check that the policy covers the risks connected with a short-term rental, both in the country of residence and in the country where the Property is located.

10.2. The client's liability

The Client is liable for material damage or bodily injury caused by the Client, by the people accompanying the Client or by any person present in the Property during the stay. The Client is advised to check that public liability cover extends to such damage and, where appropriate, to take out additional cover.

10.3. Hepicure's role

Hepicure does not act as an insurer, distributes no insurance product and receives no remuneration in that respect. At the Client's request, it may give the contact details of a broker, without taking part in the subscription. Any insurance contract is concluded directly between the Client and the insurer.

10.4. Hepicure's insurance

Hepicure holds professional indemnity insurance covering the financial consequences of faults committed in performing its engagement. The corresponding certificate is provided on request.

11. Complaints

Any complaint relating to Hepicure's engagement should be sent by email to contact@hepicure.com or by post to Hepicure, 58 rue de Monceau, CS 48756, 75380 Paris CEDEX 08, with supporting documents, as soon as possible after the end of the stay. Hepicure's response time is thirty days at a minimum and may vary with the time taken to make enquiries of the professionals concerned.

Complaints relating to the performance of a Service should be addressed to the professional that performed it, in accordance with its Service Contract. Hepicure assists the Client in doing so where Coordination is provided for in the Engagement Letter.

12. Liability

12.1. Extent

Hepicure is liable for faults committed in performing its engagement of search, verification, selection, negotiation and Coordination, under the general law and in accordance with the duty of care and diligence that is its own.

Hepicure is not liable for the performance of the Services, which falls to each professional under the Service Contract concluded with the Client, nor for non-performance or defective performance attributable to them, nor for their insolvency.

Nor is it liable for theft or damage caused by third parties in the Property during the stay, or for disturbances originating outside the Property, such as local environmental restrictions, works in the neighbourhood, or interruptions to the electricity or water supply not confined to the Property.

12.2. Limitation

Save in the case of wilful misconduct, gross negligence or bodily injury, Hepicure's liability in respect of an engagement is limited to three times the amount of the fees received for it.

12.3. Assistance

Where the Client encounters a difficulty during the stay, the Client contacts Hepicure using the details set out in the Engagement Letter. Hepicure applies the means available to it without delay to obtain from the professional concerned that the difficulty be remedied, and proposes a substitute solution where appropriate. Where the difficulty is caused intentionally or through negligence by the Client, that assistance may be invoiced on a reasonable basis.

13. Personal data

The information provided by the Client is processed by Hepicure as data controller. Certain information must be provided for the engagement to be performed, failing which requests cannot be handled.

The Client is informed that, in order to make the introductions and carry out the Coordination, the Client's data may be communicated to the Owners and Providers retained, who may be located outside the European Union, in strict compliance with the Client's rights and with applicable law. Hepicure undertakes not to transfer or sell personal data to third parties that are not partners. Data is kept for the duration of the contractual relationship and for as long as necessary to satisfy a legal or regulatory obligation.

The Client has rights of access, objection, rectification, restriction and erasure, the right to data portability, and the right to give directions as to the fate of the data after death. These rights are exercised by email to contact@hepicure.com. Details are set out in the privacy policy.

14. Governing law and disputes

14.1. Governing law

These conditions and the Engagement Letter are governed by French law. The Service Contracts are governed by their own law, which is most often that of the country where the Property is located or where the Service is performed.

14.2. Consumer clients

In the event of a dispute, a consumer Client first sends a complaint to Hepicure at contact@hepicure.com or by post to the address above. Failing a satisfactory reply within sixty days, the Client may refer the matter free of charge to the competent consumer mediator, within one year of the written complaint. The mediator's details are provided on request. Where the Engagement Letter was concluded online, the Client may also use the European online dispute resolution platform at https://webgate.ec.europa.eu/odr. The Client and Hepicure remain free to accept or refuse the solution proposed by the mediator and, where appropriate, to bring the matter before the competent courts.

14.3. Business clients and legal entities

Where the Client is a legal entity, the parties endeavour to resolve any dispute amicably. Failing amicable resolution within one month, the more diligent party may bring the dispute before the Commercial Court of Paris, to which the parties grant exclusive jurisdiction.

15. General provisions

If any provision of these conditions is or becomes unlawful, void or ineffective under applicable regulations or a final court decision, it shall be deemed not written and the remaining provisions shall remain lawful and enforceable.

These conditions may be amended at any time without notice. Amendments take effect from their publication on the Site and apply only to engagements entrusted thereafter. The Client is invited to read, accept and download the conditions when signing the Engagement Letter. In the event of any discrepancy between the French version and any other language version, the French version prevails.

The Engagement Letter is concluded for the sole benefit of the Client named in it. It may not be assigned without Hepicure's prior written consent.

HEPICURE SAS, 58 rue de Monceau, CS 48756, 75380 Paris CEDEX 08, 928 807 544 R.C.S. Paris, contact@hepicure.com.

General Terms and Conditions, Agencies and Professional Partners

HEPICURE. Applicable to engagements introduced or entrusted by a travel agency, a family office, a concierge company or any other professional acting for an end client.

HEPICURE, a French société par actions simplifiée with share capital of 1,000 euros, registered with the Paris Trade and Companies Register under number 928 807 544, registered office 58 rue de Monceau, CS 48756, 75380 Paris CEDEX 08, operates the collection accessible at hepicure.com.

Hepicure searches for, selects and negotiates places and services, then coordinates how they come together. It acts as agent. It sells no accommodation, no transport and no other travel service, and it assembles no package within the meaning of article L.211-2 of the French Code du tourisme.

Every service is contracted directly between the Traveller and the professional who performs it, and paid directly to that professional. Hepicure receives no funds on behalf of others and invoices its own remuneration only. In the event of any discrepancy between the French version and any other language version, the French version prevails.

1. Definitions

Partner: any professional, travel agency, family office, concierge company or other intermediary acting for an end client and either introducing that client to Hepicure or entrusting Hepicure with an engagement on that client's behalf.

Traveller: the Partner's end client, who stays in the Property, together with each person included in the stay.

Hepicure, Property, Owner, Provider, Service, Service Contract, Coordination, Summary Schedule, Site and unavoidable and extraordinary circumstances have the meaning given to them in the general terms and conditions of service applicable to direct engagements, which the Partner acknowledges having read.

Engagement Letter: the document signed with Hepicure setting out the engagement entrusted, its scope, the agreed fees and their payment terms.

Partner Remuneration: the amount payable to the Partner, agreed in writing before the first engagement and stated on each proposal.

2. Scope

These conditions govern any engagement introduced or entrusted to Hepicure by a Partner. The Partner warrants that it holds the authorisations required for its activity and that it is duly authorised by the Traveller to act on that Traveller's behalf.

They do not govern the Service Contracts concluded between the Traveller and the Owners or Providers. Those contracts are governed exclusively by their own terms.

The Partner acknowledges having read the general terms and conditions of service applicable to direct engagements and undertakes to communicate them to the Traveller, together with the terms of each professional retained. The Partner alone is responsible for the accuracy and completeness of the information it passes on to the Traveller.

3. The two models

3.1. Introduction

The Partner introduces the Traveller to Hepicure. The Traveller signs the Engagement Letter directly with Hepicure and pays Hepicure's fees. Hepicure pays the Partner the agreed Partner Remuneration on the terms set out in article 5.

3.2. Engagement on behalf of the traveller

The Partner entrusts the engagement to Hepicure on behalf of the Traveller. Hepicure signs the Engagement Letter with the Partner and invoices the Partner for its fees. The Partner is free to invoice its own client as it sees fit. Hepicure has no contractual relationship with the Traveller in that case, save for the practical arrangements needed for the Coordination.

3.3. Common to both models

In both cases, the Traveller contracts and pays each Owner and each Provider directly. Neither the price of the stay nor any security deposit or local charge passes through Hepicure's accounts or, unless the Partner decides otherwise under its own regulatory status, through the Partner's accounts.

The model applicable to a given engagement is stated in writing before any search work begins.

4. Hepicure's engagement

Hepicure searches for and selects places chosen for the quality of the rest and recovery they make possible, presents the Properties that match the brief, negotiates the terms on which they are made available, and introduces the Traveller to the Owners and Providers retained. Where it is provided for, Hepicure also carries out the Coordination of the stay.

Hepicure owes a duty of care and diligence. It does not own, manage or operate the Properties, employs no staff for the benefit of the Traveller, and is not liable for the performance of the Services, which falls to each professional.

No public rates are published. Each stay is the subject of an individual proposal. The terms negotiated with each professional, including price, payment schedule, security deposit, tourist tax and cancellation terms, are set out in the Summary Schedule and confirmed by each professional's own contract, which alone prevails.

5. Fees, remuneration and payment

Hepicure's fees are set out in the Engagement Letter. They are determined by the scope of the engagement and are independent of the price of the Services retained.

The Partner Remuneration is agreed in writing before the first engagement, stated on each proposal, and never altered afterwards. It is paid by Hepicure to the Partner within thirty days of receipt of the fees to which it relates, against an invoice issued by the Partner.

Hepicure may also receive a commission from the Owners and Providers it presents. That commission is payable by the professional and is not added to the price paid by the Traveller. Its principle and rate are stated to the Partner on request. Where the Partner Remuneration is calculated on that commission, the basis is agreed in writing beforehand.

Fees are paid by bank transfer. Hepicure will never ask for full bank details to be sent by email, fax, post or any other unsecured channel.

6. Changes, cancellation and end of the engagement

Any request for a change is sent to Hepicure as soon as possible. Hepicure passes it on to the professionals concerned, without being able to guarantee that it will be accepted. The financial consequences of a change or a cancellation are governed by the terms of each Service Contract and are settled between the Traveller and the professional concerned.

Hepicure's fees are earned as soon as the engagement they remunerate has been performed, and are not refundable if the Traveller gives up the stay or if a professional cancels. Where the engagement has not yet been performed, only the portion corresponding to the work already carried out remains payable.

Where an Owner or a Provider cancels, Hepicure applies without delay the means available to it to propose a substitute solution matching the same characteristics, at no additional charge.

7. Use of the properties

The rules governing the use of each Property are set out in the Service Contract concluded with the Owner. The Partner undertakes to pass them on to the Traveller before the Traveller is bound, and to inform the Traveller of the safety warnings set out in article 8 of the general terms and conditions of service applicable to direct engagements, in particular those relating to pools, recovery installations and the supervision of children.

8. Insurance

The Partner ensures that the Traveller is advised to take out insurance covering the risks connected with the stay. Hepicure distributes no insurance product and receives no remuneration in that respect.

The Partner holds professional indemnity insurance appropriate to its activity and provides the certificate on request. Hepicure holds professional indemnity insurance covering the financial consequences of faults committed in performing its engagement, and provides the certificate on request.

9. Confidentiality, communication and non-circumvention

The identity of the Owners and Providers, the terms negotiated and the commercial terms agreed between Hepicure and the Partner are confidential and may not be disclosed to any third party without prior written consent.

The Partner undertakes not to contract directly, and not to procure that its client contracts directly, with an Owner or a Provider introduced by Hepicure, other than through Hepicure, for twelve months from the introduction, unless it establishes that the relationship pre-dated that introduction. Any breach entitles Hepicure to the fees and the commission it would have received.

Use of the Hepicure name, logo and photographs requires prior written consent and is limited to the promotion of the engagements covered by these conditions.

10. Liability

Hepicure is liable for faults committed in performing its engagement of search, verification, selection, negotiation and Coordination, under the general law and in accordance with the duty of care and diligence that is its own. It is not liable for the performance of the Services, nor for non-performance or defective performance attributable to a professional, nor for that professional's insolvency.

Save in the case of wilful misconduct, gross negligence or bodily injury, Hepicure's liability in respect of an engagement is limited to three times the amount of the fees received for it.

The Partner is liable for the information it passes on to the Traveller, for obtaining the Traveller's consent to the processing of personal data, and for meeting its own regulatory obligations.

11. Personal data

Each party processes personal data as controller for its own purposes. The Partner warrants that it has informed the Traveller and obtained any consent required for the data to be passed to Hepicure, to the Owners and to the Providers, who may be located outside the European Union.

Data is kept for the duration of the contractual relationship and for as long as necessary to satisfy a legal or regulatory obligation. Rights of access, objection, rectification, restriction, erasure and portability are exercised by email to contact@hepicure.com.

12. Governing law and disputes

These conditions are governed by French law. The parties endeavour to resolve any dispute amicably. Failing amicable resolution within one month, the more diligent party may bring the dispute before the Commercial Court of Paris, to which the parties grant exclusive jurisdiction.

13. General provisions

If any provision of these conditions is or becomes unlawful, void or ineffective, it shall be deemed not written and the remaining provisions shall remain lawful and enforceable.

These conditions may be amended at any time without notice. Amendments take effect from their publication on the Site and apply only to engagements entrusted thereafter.

Listing Terms for Owners

HEPICURE. Applicable to the owners of villas, apartments and yachts submitted for listing on the collection. Hotels are not listed on the collection.

These terms govern the relationship between HEPICURE, a French société par actions simplifiée registered with the Paris Trade and Companies Register under number 928 807 544, registered office 58 rue de Monceau, CS 48756, 75380 Paris CEDEX 08, and the Owner of a property submitted for listing on the collection accessible at hepicure.com.

Hepicure presents the property to its own clients and introduces those clients to the Owner. The rental contract is concluded directly between the Owner and the client, on the Owner's own terms, and the client pays the Owner directly. Hepicure sells no stay, receives no funds on behalf of others, and is remunerated by a commission payable by the Owner. It takes no management mandate, does not operate the property, and changes nothing in how the Owner runs it.

1. What may be listed

The collection lists villas and estates, apartments, and crewed yachts. Hotels are not listed. The Owner must hold legal title to the property or be duly authorised in writing by the holder of that title to make it available for short-term rental, and must warrant that the property may lawfully be let on a short-term basis in the jurisdiction in which it is located, including any registration, declaration or authorisation required by local rules and, where applicable, by the rules of the building or of the co-ownership.

2. Submission and review

The Owner submits the property using the form on the Website or by writing to contact@hepicure.com, providing the location, a description, photographs and any document relevant to the review. Hepicure replies to every submission, including submissions it declines, and states the reason.

Where the submission is retained, Hepicure reviews the property remotely with the Owner, then arranges a visit at its own cost and at the Owner's convenience. During the visit Hepicure goes through the property with the Owner or with the person who runs it, examines the bedrooms, the equipment and the common areas, and discusses how the property is operated.

At the end of the review the Owner receives a written profile of the property, whether or not the property is listed, covering the destination, the location, the property itself, the bedrooms, the amenities and the teams. That profile is provided for the Owner's own use. It is not a certificate, a label, a diagnosis or a technical inspection, it does not replace any regulatory inspection, and no medical claim is made in it or on the basis of it.

Hepicure is free to decline any property without having to justify its decision beyond the reason communicated, in particular where the bedrooms, the equipment or the teams do not meet the standard applied to the collection.

3. What listing costs the Owner

The review costs nothing: Hepicure travels at its own cost. No listing fee is charged. No exclusivity is required, and the Owner keeps every other distribution channel and every direct booking. Hepicure takes no management mandate and does not run the property.

In respect of the listing, Hepicure is remunerated exclusively by a commission on the bookings it introduces, payable by the Owner. That commission is agreed in writing before the first introduction, stated in the listing agreement, and never modified after the fact. It is calculated on the rental price excluding the tourist tax, the security deposit and any amount payable to third parties, unless otherwise agreed in writing.

The commission is not added to the price paid by the client. Hepicure informs its clients that it receives it, and states its rate on request.

4. The listing agreement

Listing is formalised by a written agreement signed before the first booking, which sets out the commission and when it falls due, the calendar and how availability is communicated, the rates and how they are updated, the Owner's own cancellation terms, the security deposit, who does what on the ground, the arrangements for check-in and check-out and for the entry and exit inspection reports, and the duration and the terms of termination.

The agreement is not exclusive, does not transfer any right over the property, and does not authorise Hepicure to conclude any contract in the Owner's name or to receive any sum on the Owner's behalf. Either party may terminate it on written notice as provided in the agreement, without affecting bookings already confirmed, which are performed to their term on the conditions agreed at the time of confirmation.

5. Obligations of the Owner

The Owner undertakes to provide accurate and complete information about the property and to keep it up to date, in particular as regards capacity, the equipment available and its condition, works in progress or planned, and any local restriction affecting the stay.

The Owner undertakes to maintain the property, its equipment and its recovery installations in good working order and in compliance with the standards applicable in the jurisdiction in which the property is located, to hold the insurance required for a short-term rental activity, to communicate availability without delay and to honour every confirmed booking.

The Owner is responsible for the performance of the rental contract concluded with the traveller, for the presence and the conduct of the teams working at the property, for the safety of the installations and for compliance with the applicable local rules, including registration, tourist tax where the Owner remits it, employment law and neighbourhood rules.

The Owner undertakes to inform Hepicure without delay of any incident, any damage, any works liable to affect a stay and any change of ownership or of representative.

6. Bookings, payments and commission

Where a client retains the property, Hepicure introduces that client to the Owner. The Owner sends the client its own rental contract, signs it directly with the client, and receives directly the rent, the security deposit, the tourist tax and any local charge, on the schedule and by the means its contract provides.

No sum connected with the stay passes through Hepicure's accounts. Hepicure holds no funds on the Owner's behalf and advances none.

The Owner pays Hepicure the agreed commission against an invoice issued by Hepicure. Unless otherwise agreed in writing, the commission falls due when the rental contract is signed by the client and is payable within thirty days of the invoice. Where the client cancels and the Owner retains no sum, the commission is not due; where the Owner retains all or part of the sums paid, the commission is due in the same proportion.

The Owner informs Hepicure without delay of the signature of each rental contract, of the amount concerned, and of any cancellation.

7. Content, photographs and confidentiality

The Owner grants Hepicure, for the duration of the listing agreement, a non-exclusive right to use the descriptions and the photographs of the property for the purpose of presenting it to travellers and to travel agents, on the Website, in proposals and in the material sent to clients. The Owner warrants that it holds the rights to the material provided.

Where Hepicure produces its own photographs or written material, that material remains the property of Hepicure and may be used by the Owner only with Hepicure's prior written consent.

Each party undertakes to keep confidential the identity and the contact details of the travellers, of the clients and of the partners communicated in the context of the relationship, and not to use them outside the purpose for which they were communicated. Where the Owner contracts directly with a client introduced by Hepicure, for a stay at the listed property or at any other property at the Owner's disposal, during the term of the listing agreement or in the twenty-four months following its end, the agreed commission remains due.

8. Liability

Hepicure is not a party to the rental contract. The Owner alone is liable to the client for the performance of that contract, for the condition of the property, for the equipment installed in it, for the conduct of the teams working there and for compliance with the applicable local rules.

The Owner indemnifies Hepicure against any claim, action or proceeding brought by a client, by a third party or by an authority and arising from the condition of the property, from the performance of the rental contract, from a breach of the applicable local rules or from the inaccuracy of the information supplied by the Owner.

As between Hepicure and the Owner, Hepicure's liability is limited to direct damage attributable to a proven fault of its own and may not exceed the commission received in connection with the booking concerned, except in cases of gross negligence, wilful misconduct or bodily injury.

9. Personal data

Information provided by the Owner is processed by Hepicure as data controller to review the property, to prepare and manage the listing and to perform the listing agreement. Data may be shared with clients, with professional partners, with the providers retained for a stay and with Hepicure's own service providers, in compliance with applicable data protection law. The Owner has the right to access, object to, rectify, restrict, erase and port their data, by writing to contact@hepicure.com. Full details appear in the privacy policy.

10. Governing law and disputes

These terms and the listing agreement are governed by French law. The parties will endeavour to resolve any dispute amicably. In the absence of an amicable resolution within one month, either party may bring the dispute before the Paris Commercial Court, to which the parties grant exclusive jurisdiction.

3. Medical data, in particular

The medical questionnaire and anything you tell us about your condition fall under article 9 of the GDPR. They are collected by way of explicit consent, obtained in the Engagement Letter separately from acceptance of the general terms and conditions of service, and never by default. They are used only to prepare your stay or to adapt our recommendations. They are disclosed only to the providers you accept by name, each acting under their own responsibility and bound either by a processing agreement or by their own professional secrecy. You may withdraw your consent at any time, and the rest of the stay is unaffected.

Hepicure gives no medical advice, performs no medical or paramedical act and makes no medical claim. Any such act is contracted directly between you and the licensed professional.

The intellectual property provisions of the legal notice apply to these terms.
